Hifive — Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Hifive website, mobile application, fitness programs, videos, or any other services provided by Chelsea Health LLC, doing business as Hifive ("Hifive," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must stop using the Services.

1. Definitions

"Services" include all websites (including hifivemom.com), mobile applications, fitness content, videos, workout programs, membership materials, and any related features or offerings provided by Chelsea Health LLC d/b/a Hifive.

"User," "you," and "your" refer to any person accessing the Services.

2. Eligibility & Accounts

To use the Services, you must be 18 years of age or older and capable of entering into a binding contract.

By creating an account, you agree to:

  • provide accurate and complete information,
  • maintain the confidentiality of your login credentials,
  • be responsible for all activity under your account,
  • notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts for violations of these Terms.

3. Health & Medical Disclaimer

Hifive does not provide medical advice.

Our fitness and wellness content—including prenatal and postpartum workouts—is for general informational purposes only. It is not medical, nursing, or professional healthcare advice.

You should consult your physician or qualified healthcare provider before beginning any exercise program, especially if pregnant, postpartum, or managing a medical condition.

If you experience pain, dizziness, faintness, bleeding, or concerning symptoms, stop immediately and seek medical attention.

Use of the Services is at your own risk.

4. Assumption of Risk

Fitness activities involve risks including, but not limited to:

  • musculoskeletal injuries,
  • cardiovascular events,
  • pregnancy-related complications,
  • equipment failure,
  • dizziness or fainting.

By using the Services, you voluntarily assume all risks, known and unknown, associated with fitness participation.

If you are pregnant or postpartum, you represent that:

  • you have obtained clearance from your healthcare provider,
  • you understand the risks associated with prenatal and postpartum exercise.

5. Release of Liability (to the extent permitted by law)

To the fullest extent allowed by applicable law, you agree that Chelsea Health LLC (d/b/a Hifive) and its owners, instructors, employees, and representatives ("Released Parties") are not liable for injuries, damages, or losses arising from your use of the Services, including claims based on ordinary negligence.

This release does not apply to gross negligence, willful misconduct, or where prohibited by law.

Because some jurisdictions restrict liability waivers, this clause applies only to the extent permitted by law.

6. Indemnification

You agree to indemnify and hold harmless the Released Parties from any claims, damages, losses, or expenses (including reasonable attorneys' fees) resulting from:

  • your use of the Services,
  • your violation of these Terms,
  • your negligent or intentional conduct.

This obligation applies only where permitted by law.

7. Prohibited Uses

You agree not to:

  • copy, reproduce, distribute, or modify Hifive content without permission,
  • share account login information,
  • interfere with the security or proper functioning of the Services,
  • upload viruses or malicious code,
  • reverse-engineer or scrape the Services,
  • infringe intellectual property rights,
  • use the Services to harass, abuse, or harm others,
  • engage in illegal behavior.

We may suspend or terminate accounts engaged in prohibited conduct.

8. Community Rules & Guidelines

Hifive may offer community features including, without limitation, comments, messaging, groups, discussion boards, community challenges, user profiles, or other interactive areas (collectively, “Community”). These Community Rules & Guidelines apply to your use of any Community features and are part of these Terms.

1. Be Respectful

You agree to engage with others in a respectful, supportive, and constructive manner. You may not harass, threaten, bully, shame, stalk, or target other users or any individual or group.

2. Keep It Safe

You may not post, share, or promote content that:

  • encourages self-harm, eating disorders, or dangerous behavior,
  • includes graphic violence, gore, or sexual content involving minors,
  • promotes hate or discrimination against protected groups,
  • includes non-consensual intimate content or sexually exploitative material,
  • attempts to intimidate, dox, or expose someone’s private information.

If you believe someone may be in immediate danger, contact local emergency services.

3. No Illegal or Harmful Activity

You may not use the Services or Community to facilitate, promote, or engage in illegal activity, including the buying/selling of illegal goods or services, fraud, or instructions for wrongdoing.

4. Privacy & Personal Information

Respect privacy—yours and others’.

  • Do not share another person’s private or identifying information (including address, phone number, email, medical information, or workplace details) without permission.
  • Do not attempt to collect user data, solicit passwords, or access accounts you do not own.
  • You are responsible for what you choose to share about yourself, including health or pregnancy-related information.

5. Health, Fitness, and Medical Content (Community)

The Community is not a substitute for professional medical advice. You agree not to:

  • represent yourself as a medical professional (unless you are, and clearly disclose credentials),
  • give personalized medical diagnoses or treatment instructions,
  • post misinformation that could reasonably cause harm (e.g., unsafe postpartum guidance, dangerous exercise modifications, or medical claims presented as fact).

You are encouraged to consult a qualified healthcare provider for medical questions.

6. No Spam, Scams, or Manipulation

You may not:

  • post spam, repetitive content, chain messages, or misleading links,
  • run promotions, giveaways, affiliate campaigns, or solicitations without our permission,
  • impersonate others, misrepresent affiliations, or engage in deceptive conduct.

7. Appropriate Content & Language

You may not post content that is obscene, excessively explicit, or otherwise inappropriate for a general wellness community. We may restrict or remove content that undermines a safe, inclusive environment even if it is not explicitly prohibited above.

8. Your Content and Our Rights to Moderate

You are responsible for anything you submit, post, upload, or share in the Community (“User Content”). We do not guarantee that User Content will be reviewed.

We reserve the right (but are not obligated) to:

  • remove or restrict access to User Content at any time,
  • limit visibility, comment functionality, or other community privileges,
  • suspend or terminate accounts for violations of these Terms or these Guidelines,
  • cooperate with law enforcement and respond to lawful requests.

9. Reporting

If you encounter content or behavior that violates these Guidelines, please report it through in-app reporting tools (if available) or by emailing support@hifivemom.com. We may review reports and take action at our discretion.

10. No Guarantee of Community Outcomes

We do not guarantee that participation in Community features will produce any particular results (including fitness, wellness, medical, or social outcomes), and interactions with other users are at your own risk.

9. Intellectual Property

All content provided through the Services—including workout videos, text, images, programs, logos, and software—is the property of Chelsea Health LLC or its licensors.

You may use Hifive content only for your personal, non-commercial use. Any other use requires prior written permission.

10. Subscription Terms

a. Automatic Renewal

Subscription plans automatically renew at the end of each billing cycle at the then-current price unless canceled. All legally required renewal and price-change notifications will be provided.

b. Payment Authorization

You authorize Hifive to charge your selected payment method for recurring subscription fees. You are responsible for maintaining accurate billing information.

c. Cancellation

You may cancel your subscription at any time:

  • in your account settings, or
  • by emailing support@hifivemom.com

Cancellation stops future billing but does not refund the current billing period. Deleting the app does not cancel your subscription.

d. Refunds

Payments are non-refundable, except:

  • where required by law, or
  • for confirmed billing errors reported within 7 days.

11. Account Deletion

If you request deletion of your account:

  • your subscription will be canceled at the end of the billing cycle,
  • your data will be processed according to our Privacy Policy.

12. Termination

We may suspend or terminate access to the Services at our discretion for behavior that violates these Terms.

Sections related to intellectual property, liability, indemnification, disclaimers, and dispute resolution survive termination.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Hifive is not liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Your rights may vary by jurisdiction.

14. “AS IS” Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied.

We do not guarantee that:

  • the Services will be uninterrupted or error-free,
  • defects will be corrected,
  • the Services will be secure,
  • results will meet your expectations.

15. Third-Party Links

The Services may contain links to third-party websites or services. Hifive is not responsible for their content, policies, or practices.

You access third-party sites at your own risk.

16. Copyright Infringement (DMCA)

If you believe that content on the Services infringes your copyright, notify our designated agent:

Your notice must meet the requirements of 17 U.S.C. § 512(c)(3). Submitting false claims may result in liability.

17. Dispute Resolution & Arbitration

Where permitted by law, you agree that any dispute with Hifive will be resolved by binding arbitration on an individual basis.

You waive the right to:

  • participate in class actions,
  • bring collective claims.

You may opt out of arbitration within 30 days of accepting these Terms by emailing support@hifivemom.com with the subject “Arbitration Opt-Out.”

18. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Venue for any permitted court action shall be in New York County, New York.

19. Changes to These Terms

We may update or modify these Terms at any time. For material changes, we will provide at least 30 days’ notice by email or via the Services.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
